Agreement to Terms

Tempo is operated by Shelfffy Pty Ltd (ABN 26 692 711 041), trading as Use Tempo.

These Terms of Service ("Terms") govern access to and use of Tempo websites, applications, pilots, APIs, and related services (the "Service"). By using the Service, you agree to these Terms and our Privacy Policy.

If you use Tempo on behalf of a company or organization, you represent that you have authority to bind that organization. If your organization has a separate written agreement or order form with Tempo, that agreement controls where it conflicts with these Terms.

The Service

Tempo helps field teams use AI agents to convert visits, photos, notes, routes, account context, and operating rules into summaries, tasks, reports, coaching, and decision workflows.

  • AI-assisted review of field submissions, proof, routes, and exceptions.
  • Workspace memory for customer context, field activity, rules, and approved operating patterns.
  • Draft reports, messages, task packets, recommendations, and review queues.
  • Integrations, imports, exports, and developer-facing surfaces that connect Tempo to customer systems.

Accounts and Workspaces

You must provide accurate account information and keep credentials secure. You are responsible for activity under your account and for promptly notifying Tempo of suspected unauthorized use.

Organizations are responsible for configuring workspace users, roles, permissions, integrations, field rules, approval boundaries, and retention expectations.

Customer Data and AI Outputs

You retain ownership of content you submit to Tempo, including field notes, photos, account data, routes, rules, comments, approvals, and imported records ("Customer Data"). You grant Tempo the rights needed to host, process, transmit, display, and analyze Customer Data to provide and improve the Service.

Tempo may generate summaries, recommendations, classifications, tasks, reports, messages, or other outputs from Customer Data. You are responsible for reviewing outputs before relying on them, sending them, or taking operational action.

Acceptable Use

You agree not to misuse the Service or help anyone else do so.

  • Do not use Tempo in violation of law, third-party rights, employment obligations, privacy obligations, or customer commitments.
  • Do not upload malicious code, attempt to bypass security controls, probe systems without authorization, or disrupt the Service.
  • Do not submit content that is unlawful, harmful, deceptive, abusive, or that you do not have permission to process.
  • Do not reverse engineer, scrape, resell, or benchmark the Service except as permitted by law or written agreement.
  • Do not use AI outputs as the sole basis for sensitive decisions without appropriate human review.

Field Operations and Human Review

Tempo is a software tool for operational assistance. It does not guarantee that field data, AI outputs, route recommendations, account guidance, compliance signals, or generated messages are complete, current, accurate, or appropriate for every situation.

Customers remain responsible for their field operations, employment decisions, customer communications, safety requirements, legal obligations, and final approvals.

Integrations

If you connect third-party services to Tempo, you authorize Tempo to access, process, and transmit information through those services as configured by you or your organization. Third-party services are governed by their own terms and privacy policies.

Fees, Pilots, and Billing

Paid features, pilots, usage limits, implementation work, or subscriptions may be governed by an order form or separate agreement. Unless otherwise stated, fees are non-refundable except as required by law or expressly agreed in writing.

We may change pricing, packaging, or limits with reasonable notice. Failure to pay applicable fees may result in suspension or termination of access.

Availability and Changes

We work to keep Tempo reliable, but the Service may be unavailable due to maintenance, outages, third-party provider issues, updates, or events outside our control. We may modify, add, or remove features over time.

Privacy and Security

Our Privacy Policy explains how we handle information. Our Security page describes general safeguards we use to protect the Service.

Intellectual Property

Tempo and its software, designs, documentation, workflows, models, trademarks, and other materials are owned by Tempo or its licensors. Except for rights expressly granted, no rights are transferred to you.

Feedback you provide may be used by Tempo without restriction or obligation, unless a separate written agreement says otherwise.

Termination

You may stop using Tempo at any time. We may suspend or terminate access if you violate these Terms, create risk for the Service or other users, fail to pay applicable fees, or if required by law.

After termination, certain provisions will continue to apply, including those related to ownership, fees owed, confidentiality, disclaimers, liability limits, and dispute resolution.

Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Tempo disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, and error-free or accurate AI output.

Limitation of Liability

To the fullest extent permitted by law, Tempo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities arising from or related to the Service.

Indemnity

You agree to defend, indemnify, and hold Tempo harmless from claims, damages, liabilities, and expenses arising from your use of the Service, Customer Data, violation of these Terms, or violation of third-party rights or law.

Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a new "Last updated" date. Continued use of the Service after changes take effect means you accept the updated Terms.
